Terms of Service
These Terms govern your access to and use of the Aretia Climate platform and all associated services. By creating an account you confirm that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Aretia Climate LLC (“Aretia Climate”, “we”, “us”), a company incorporated in Delaware, United States, governing your use of the Aretia Climate platform and all related services, APIs, and content (collectively, the “Services”).
By registering an account, clicking “I accept”, or otherwise accessing the Services, you confirm that:
- You are at least 18 years of age.
- You have the legal authority to enter into this agreement, either personally or on behalf of the organisation you represent.
- You have read and understood our Privacy Notice.
If you do not agree to these Terms, you must not access or use the Services.
2. Description of Services
Aretia Climate provides a Software-as-a-Service (SaaS) climate intelligence platform designed for organisations and professionals. The Services include, but are not limited to:
- GHG Emissions Inventory — Scope 1, 2 and 3 measurement tools aligned to the GHG Protocol.
- Physical Risk Analysis — Climate hazard mapping and IFRS S1/S2 physical risk assessments.
- Transition Risk Tools — CBAM calculator, carbon sensitivity analysis, scenario modelling.
- Climate Scenario Analysis — NGFS and IPCC pathway modelling.
- IFRS S2 Reporting — Automated climate disclosure report generation.
- EU Taxonomy Assessment — Alignment analysis under Regulation (EU) 2020/852.
- Science-Based Targets — SBTi pathway modelling and target validation support.
- Energy Audit Tool — ISO 50001-aligned energy management assessments.
- Evidence Hub — Document management and audit trail for climate disclosures.
We reserve the right to modify, add, or discontinue features of the Services at any time with reasonable prior notice where practicable.
3. Accounts and Registration
3.1 Account Creation
To access the Services you must register an account and provide accurate, current and complete information. Organisation accounts require a valid work email address. You are responsible for maintaining the accuracy of your account information.
3.2 Account Security
You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately at legal@aretiaclimate.com if you suspect any unauthorised access to your account.
You must not share your login credentials, create accounts for others without their consent, or use another person's account without permission.
3.3 One Account per Organisation
Each subscription covers one legal entity. Sharing credentials across multiple organisations is prohibited. Contact us if you need multi-entity or enterprise licensing.
3.4 Team Members
Organisation accounts may invite additional team members up to the limit of their subscription tier. All team members are bound by these Terms.
4. Subscription and Payment
4.1 Plans and Pricing
We offer several subscription tiers, including a free “Novel” tier and paid plans (Starter, Professional, Business, Enterprise). Details and current pricing are set out at aretiaclimate.com/pricing.
4.2 Billing
Paid subscriptions are billed monthly or annually in advance, depending on the plan selected. All payments are processed securely by Stripe, Inc. We do not store card details. By subscribing, you authorise us to charge the payment method on file for each billing period until cancelled.
4.3 Price Changes
We may change subscription prices with at least 30 days' written notice. Price changes take effect from your next renewal date. Continued use after the effective date constitutes acceptance of the new price.
4.4 Taxes
All prices are exclusive of applicable taxes (including VAT). You are responsible for any taxes applicable in your jurisdiction.
4.5 Refunds
Payments are generally non-refundable. However, if you experience a significant service failure attributable to us, contact legal@aretiaclimate.com within 14 days and we will assess a refund or credit on a case-by-case basis.
4.6 Free Tier
The Novel (free) tier is provided without charge at our discretion. We reserve the right to modify features available on the free tier or discontinue it with 30 days' notice.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable law or regulation.
- Misrepresent your identity, organisation, or the data you input into the platform.
- Upload or transmit malicious code, viruses, or any software that interferes with the Services.
- Attempt to gain unauthorised access to any part of the Services, servers, or networks.
- Scrape, crawl, or extract data from the platform by automated means without prior written consent.
- Reverse engineer, decompile, or disassemble any component of the Services.
- Resell, sublicense, or otherwise commercialise the Services or outputs without our written permission.
- Input personal data of third parties into the platform without a valid legal basis and appropriate disclosures to those individuals.
- Use outputs from the platform in a manner that is misleading, fraudulent, or designed to deceive investors, regulators, or other stakeholders.
- Generate or distribute false climate disclosures using the Services — doing so may constitute greenwashing under applicable consumer protection and securities law.
We may suspend or terminate your account immediately if we reasonably believe you have violated this section.
6. Intellectual Property
6.1 Our IP
The Services, including all software, algorithms, methodologies, design, text, graphics, and datasets (excluding your data) are owned by or licensed to Aretia Climate and are protected by copyright, trade secret, and other intellectual property laws. These Terms do not transfer any ownership to you.
6.2 Licence to Use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes during your subscription period.
6.3 Your IP
You retain ownership of all data, content, and materials you upload to the platform (“Your Data”). You grant us a limited licence to process Your Data solely to provide and improve the Services.
6.4 Outputs and Reports
Reports, analyses, and other outputs generated from Your Data are owned by you. We retain ownership of the underlying methodologies and software used to generate them.
6.5 Feedback
If you submit suggestions or feedback about the Services, you grant us an irrevocable, royalty-free licence to use that feedback in any manner without any obligation to you.
7. Your Data and Privacy
7.1 Data Ownership
You own Your Data. We act as a data processor in relation to personal data you upload, and as a data controller in relation to your account information.
7.2 Privacy
Our Privacy Notice explains how we collect, use, and protect personal data. It forms part of these Terms. In the event of any conflict between these Terms and the Privacy Notice on matters of data protection, the Privacy Notice prevails.
7.3 Data Processing Agreement
Where you upload personal data of third parties (for example, employee data for supply chain emissions calculations), you act as the data controller and we act as your data processor. By using the Services in this way, you agree to the data processing terms set out in our standard Data Processing Agreement, available on request at legal@aretiaclimate.com.
7.4 Aggregated Data
We may use anonymised, aggregated data derived from your use of the platform to improve the Services and for industry benchmarking. This data will not identify you or your organisation.
7.5 Data Portability and Deletion
You may export Your Data at any time from your account settings. On termination of your account, we will retain Your Data for 90 days to allow for export requests, after which it will be deleted in accordance with our retention schedule.
8. Service Availability and Support
8.1 Uptime
We target 99.5% monthly uptime for paid plans, excluding scheduled maintenance and events outside our reasonable control. We will endeavour to give 48 hours' advance notice of planned maintenance affecting service availability.
8.2 Support
Support is available by email for all plans. Response times vary by tier. Enterprise clients receive dedicated support with agreed service levels.
8.3 No Guarantee of Continuity
We do not warrant that the Services will be uninterrupted, error-free, or available at any particular time. We are not liable for temporary unavailability caused by factors outside our control.
9. Disclaimers
Provided “as is”. The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
Data accuracy. Climate risk assessments, emissions calculations, and scenario outputs depend on data you provide, third-party datasets, and scientific models that carry inherent uncertainty. We do not warrant the accuracy, completeness, or fitness for regulatory use of any output. You are responsible for validating outputs before using them in disclosures, investment decisions, or regulatory filings.
Regulatory compliance. We do not guarantee that use of the Services will ensure compliance with IFRS S2, CSRD, TCFD, SEC climate rules, or any other regulatory framework. Regulatory requirements are evolving; you should seek independent legal or regulatory advice.
Third-party data. The platform incorporates third-party datasets (NGFS scenarios, IPCC pathways, physical hazard data, emission factors). We are not responsible for the accuracy of third-party data.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Exclusion of consequential loss. Neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, business, goodwill, or opportunity — even if advised of the possibility of such damages.
- Cap on liability. Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the event giving rise to the claim, or (b) USD $500.
- Exceptions. Nothing in these Terms limits liability for: fraud or fraudulent misrepresentation; death or personal injury caused by negligence; or any other liability that cannot be excluded or limited by law.
Some jurisdictions do not allow limitations on implied warranties or exclusions of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Aretia Climate, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Services in breach of these Terms.
- Data you upload to the platform, including any claim that it infringes third-party rights or breaches data protection law.
- Your violation of any applicable law or regulation.
- Any misuse of outputs generated by the Services.
12. Termination
12.1 By you
You may cancel your subscription at any time through your account settings or by contacting legal@aretiaclimate.com. Cancellation takes effect at the end of the current billing period. No refund is issued for the remaining period unless required by law.
12.2 By us
We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. For non-material breaches, we will give you 14 days' written notice to remedy the breach before termination.
We may also terminate the Services on 60 days' written notice for business reasons unrelated to your conduct. In that case, you will receive a pro-rata refund.
12.3 Effect of Termination
On termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, liability, indemnification, and governing law — will survive.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
13.2 Dispute Resolution
If a dispute arises, the parties agree to first attempt to resolve it informally by contacting legal@aretiaclimate.com. If the dispute is not resolved within 30 days, either party may pursue formal remedies.
13.3 Jurisdiction
For users in the European Union or United Kingdom, nothing in these Terms affects your right to bring claims before the courts of your country of residence or to benefit from mandatory consumer protection laws applicable in your jurisdiction.
13.4 Class Action Waiver
To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Aretia Climate.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes:
- We will notify active users by email at least 30 days before the changes take effect.
- The “Effective” date at the top of this page will be updated.
- For changes required by law, a shorter notice period may apply.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services and cancel your account before the effective date.
